Terms of Service
The agreement between you and ASPECT when you create an account, build a site, or sell through the platform.
1. Who we are and what these terms cover
ASPECT is a trading name of Murdoch's Dietary Limited, a New Zealand company. ASPECT (“ASPECT”, “we”, “us”) operates the platform at startaspect.com, the creator sites we host, and the services described on our site (together, the “Service”). These Terms of Service (“Terms”) are a contract between you and Murdoch's Dietary Limited. By creating an account or using the Service you agree to them.
The Privacy Policy, Refunds and cancellations policy, Acceptable Use Policy and Cookie Policy are part of these Terms. If you sell through the Service, Stripe’s terms apply too (section 7).
2. Eligibility and your account
- You must be at least 18 and able to enter a binding contract. The Service is for business use: you are using it to sell products or services, not as a consumer.
- Give us accurate information and keep it current. One person per account; don’t share your login.
- You are responsible for everything done through your account. Keep your password private and tell us straight away at support@startaspect.com if you think someone else has access.
- Our staff, including the strategist assigned to you on Pro and Launch, may view your dashboard, site and content to provide the Service and support.
3. What ASPECT provides
Depending on your plan, the Service includes: a questionnaire that recommends what to sell; a site written and designed for you by AI, which you can edit; hosting of that site at an ASPECT address or your own domain; checkout, memberships, courses, downloads and reviews; insights about visits and sales; a content calendar with AI-written ideas; and, on Pro and Launch, a human content strategist (section 10).
Recommendations and estimates are information, not promises. Revenue estimates are built from typical ranges for audiences like yours. They are not forecasts, not advice, and not a guarantee that you will earn anything. Whether you sell depends on your offer, your content, your market and your effort. We don’t guarantee traffic, sales, members or income.
4. AI-generated content
- Your site text, offer recommendations, post ideas and rewrites are generated by third-party AI models from the answers and content you give us. They can be wrong, generic, out of date, or similar to what the same models produce for other people.
- Review everything before you publish it. You are responsible for what your site says, including any claims about results, health, money, legal matters or other people.
- As between you and us, you own the output we generate for you, and we assign to you whatever rights we have in it. We can’t promise it is protectable by copyright, unique, or free of third-party claims.
- Don’t use the AI features to generate anything prohibited by the Acceptable Use Policy. AI features have fair-use limits per plan, shown when you choose your plan.
5. Plans, trials and billing
- Plans. The current plans, prices and what each includes are shown when you choose your plan after onboarding, and in Dashboard → Plan. Prices are in US dollars. Taxes may be added where the law requires.
- Free trial. Your first subscription starts with a 7-day free trial. A payment method is required to start it. If you don’t cancel before the trial ends, your plan is charged automatically. One trial per person.
- Renewal. Plans are billed in advance, monthly or yearly, through Stripe, and renew automatically until you cancel.
- Cancelling and changing plans. Cancel or change your plan any time from Dashboard → Plan. Cancellation takes effect at the end of the period you’ve paid for; you keep access until then. Plan changes apply as shown at checkout.
- Refunds are covered by the Refunds and cancellations policy.
- Failed payments. If a renewal payment fails we retry it. If it keeps failing we may pause or downgrade your account, and your site may go offline until payment is sorted.
- Price changes. We can change plan prices with at least 30 days’ notice by email or in your dashboard. The new price applies from your next renewal after the notice period. If you don’t agree, cancel before then.
- Access codes and promotions have the conditions attached to them and can be withdrawn if misused.
6. Fees on your sales
When a buyer pays on your site, we take a platform fee from that payment. The fee depends on your plan at the time of the sale:
- Starter: 5% + 50¢ per sale
- Pro: 2% + 25¢ per sale
- Launch: 0% + 10¢ per sale
- The fee is collected automatically through Stripe as part of each payment. Stripe’s own card-processing fees are charged by Stripe on top and are set by Stripe, not us.
- On subscriptions and payment plans you sell, the fee applies to each instalment.
- If you refund a buyer, the platform fee on that sale is not returned. Stripe may also keep its processing fee.
- Payouts are made by Stripe to your bank account on Stripe’s schedule. We never hold your money and can’t speed up or delay payouts.
7. Selling through ASPECT (Stripe Connect)
- To accept payments you must connect a Stripe account and accept the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. Stripe may ask you to verify your identity and business, and may decline, limit or close your account under its own rules.
- You are the seller. Every sale on your site is a contract between you and your buyer. You are responsible for your products and services, their descriptions and prices, delivering them, customer service, refunds, disputes and chargebacks, and any tax (including sales tax, VAT or GST) on what you sell. We are not a party to that contract and are not your agent, reseller or merchant of record.
- Honour what you offer. Payment plans, free trials, discount codes, order bumps, upsells, waitlists and “was” prices are tools you configure. What they promise, you must deliver. Don’t show fake discounts, fake scarcity or fake reviews.
- Disputes and chargebacks are between you, your buyer and Stripe. Amounts Stripe debits for disputes come from your balance, not ours.
- Risk. If we see fraud, unusual activity, legal risk or a breach of these Terms, we may pause checkout on your site, remove products, ask you for information, or report to Stripe, with notice where it is practical.
- Your buyers’ access. If a buyer stops paying a subscription or payment plan, whether they keep access is your decision under your own terms with them. By default we remove access when payment stops.
8. Your site and your content
- You own your content: your text, images, video, products, lessons, posts and brand. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, transmit and adapt it only as needed to run the Service for you (for example to resize images, render your site, or produce the rewrites you ask for).
- You confirm you have the rights to everything you upload or publish, including photos, music, video, fonts, testimonials and other people’s names or likenesses, and that it doesn’t break any law or anyone’s rights.
- White label. Your site carries your name, not ours. We won’t put ASPECT branding on it, and we won’t feature your site in our marketing without your permission.
- Addresses. Your site gets an address under our domain, which you can change (we redirect the old one for a reasonable time). We may reclaim an address that infringes someone’s trademark, impersonates someone, or belongs to a closed account.
- Your own domain. You may connect a domain you own or control. You are responsible for your domain registration and for pointing it at us as instructed.
- We may remove content that breaks these Terms or the law, and will tell you when we do unless the law stops us.
9. Your members, buyers and their data
People who buy, join, sign up or leave reviews on your site are your customers. For their personal information you are the controller and we are your processor. That means:
- We process their data only to run your site and on your instructions, keep it secure, don’t use it for our own marketing, and delete or return it when you close your account (see section 15). Details are in the Privacy Policy.
- You must publish a privacy notice on your site that is accurate for how you use their data, and comply with privacy, anti-spam and consumer laws where you and your buyers are.
- Email addresses you export are for people who gave them to you on your site. Don’t import, buy or scrape lists, and don’t send people email they haven’t agreed to.
10. Strategist services (Pro and Launch)
- Pro includes a content strategist who prepares a monthly content plan around your pillars and checks in with you weekly in your dashboard.
- Launch includes a weekly one-to-one content strategy call with your strategist, written recaps with next steps, your monthly content calendar planned and written for you, a monthly review of your insights, and help finishing your offer, sales pages and site.
- Calls are scheduled from your dashboard. Give at least 24 hours’ notice to reschedule. A missed call isn’t rolled over or refunded. Calls not used in a month don’t carry forward.
- Written content is a draft for you to review, edit and approve. You decide what you post, and you are responsible for it.
- Strategist advice is general guidance based on what you tell us and what your insights show. It isn’t a guarantee of growth or sales, and isn’t legal, financial or medical advice.
- We may change the strategist assigned to you. Strategist services are personal to your account and can’t be transferred or resold.
11. Support
Support is through Dashboard → Support. Response targets by plan:
- Starter: We reply within 2 business days.
- Pro: We reply the same business day.
- Launch: We reply within a few hours, and your strategist sees it too.
Targets are measured in business hours and are our aim, not a guarantee.
12. Acceptable use
You must follow the Acceptable Use Policy. In short: no illegal, harmful, deceptive or infringing products or content; no spam; no interfering with the Service or other people’s sites; no scraping or reverse engineering; no use of the Service to build a competing product.
13. Copyright and trademark complaints
If you believe a site we host infringes your copyright or trademark, email support@startaspect.com with: the work you own, where the infringing material is (a link), your contact details, a statement that you believe in good faith the use isn’t authorised, and a statement that your notice is accurate and that you are the owner or authorised to act for them. We will remove or disable access to the material, tell the creator, and may give them a chance to respond. Accounts that repeatedly infringe are closed.
14. Availability and changes to the Service
- We work to keep the Service available and fast but don’t guarantee it will be uninterrupted or error-free. Maintenance, outages at our providers, and problems outside our control can take it offline.
- We improve the Service continuously and may add, change or remove features. If we remove something material to your plan we will give reasonable notice.
- We keep backups for operating the Service, but you are responsible for keeping your own copies of your content and data. Your email list can be exported from your dashboard; ask us for a copy of anything else.
15. Suspension and termination
- By you. Cancel your plan any time (section 5). To close your account entirely, email us.
- By us. We may suspend or close your account if you breach these Terms or the Acceptable Use Policy, don’t pay, create legal or security risk for us or others, or if Stripe closes your connected account. We will give notice and a chance to fix things where that is reasonable.
- What happens. Your site goes offline and your buyers lose access to it, so tell them and settle anything you owe them. Any obligations you have to buyers remain yours. Your Stripe account is yours and stays with you.
- Your data. For 30 days after your account closes you can export your email list and ask us for a copy of your content and orders. After that we delete it, except records we must keep by law (for example payment records) and backups that roll off on their normal schedule.
- Sections that by their nature should survive (fees owed, content licences needed to wind down, disclaimers, liability, indemnity, governing law) survive termination.
16. Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we exclude all warranties and guarantees, express or implied, including fitness for a particular purpose and non-infringement. We don’t control Stripe, domain registrars, social platforms or the AI models we use, and aren’t responsible for their availability or decisions.
Because you use the Service for business purposes, you agree that the New Zealand Consumer Guarantees Act 1993 does not apply to it, to the extent that is lawful.
17. Limitation of liability
- To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, sales, data, goodwill or business opportunity, however it arises.
- Our total liability to you for everything arising out of the Service in any 12-month period is limited to the amount you paid us in plan fees in that period (platform fees on your sales don’t count), or US$100 if you paid nothing.
- Nothing in these Terms excludes or limits liability that can’t be excluded by law.
18. Your responsibility to us
You will cover us (and our staff and contractors) for claims, losses and reasonable costs that arise from your products and services, your content and site, your dealings with your buyers, tax on your sales, or your breach of these Terms or the law.
19. Changes to these Terms
We may update these Terms. For material changes we will give at least 14 days’ notice by email or in your dashboard before they take effect. Using the Service after that means you accept the new Terms. If you don’t, cancel your plan before they apply.
20. Governing law and disputes
These Terms are governed by the laws of New Zealand, and the courts of New Zealand have non-exclusive jurisdiction. Before starting any claim, contact us at support@startaspect.com and give us 30 days to resolve it with you. Nothing here removes rights you have under the laws of the place you live that can’t be excluded by agreement.
21. General
- These Terms and the documents they refer to are the whole agreement between you and us about the Service.
- You can’t transfer your account or this agreement to anyone else without our consent. We may transfer it to a successor of our business, with notice.
- If part of these Terms can’t be enforced, the rest still applies. Not enforcing a term once doesn’t waive it.
- We aren’t responsible for failures caused by events outside our reasonable control.
- Notices to you go to the email on your account. Notices to us go to support@startaspect.com.
